As a Legal Executive, Wattey assists the Corporate and Commercial Department in various roles from documents drafting, managing legal due diligence in relation to merger and acquisition transactions across a range of sector (from hospitality, machinery to utility) to advising clients on all aspects of Companies Acts.
With over five years’ international commercial legal experience working in the leading South-East Asian regional law firm DFDL Mekong, Wattey has experience in handling cross-border transactional work such as joint ventures, mergers & acquisitions, disposals, and complex corporate re-organisations relating to various sectors including retail, hospitality and agriculture. Wattey’s highlights include:
Assisting in a group restructuring transaction involving restructuring of debt portfolios and assets, demerging, reducing capital and transferring hotel assets (including the relevant licences) within certain group companies and preparing applications for group reliefs. 20 group companies were involved. Debt portfolio: £22.3 million.
Handling various aspects of fundraising projects of a renewable energy group to include managing a virtual data room, negotiating and preparing various ancillary transaction documents, such as heads of terms, sale agreement and disclosure letter with regards to sales of solar projects.
Advising a client, who is an investor holding loan notes, on his exit strategy and redemption of his investments and reviewing compliance of the investment vehicle with the terms of the shareholders’ agreement, loan note instrument and the Companies Act generally.
