Our Client, React Ireland Ltd, is a thriving property restoration business based in Belfast. With nearly two decades of experience, they have built a reputation for delivering exceptional service to homeowners and businesses affected by fires and floods. With a portfolio of satisfied clients and a dedicated team of personnel, growth and expansion has long been on the horizon.

Lynsey Henderson, acting as solicitor for React, was tasked with facilitating the sale of the business to Polygon Group, a leading competitor in the European market. The negotiations were complex, spanning legal intricacies, financial considerations and cultural nuances.

The intricacies of cross-border transactions presented unique challenges. From aligning legal frameworks to ensuring regulatory compliance, our Corporate and Commercial team worked diligently to navigate these challenges and ensure a smooth transition.

With a focus on efficiency and clarity, we utilised our expertise to streamline the process. Through strategic negotiations and thorough documentation, we safeguarded our client’s interests while fostering a constructive dialogue with Polygon’s representatives.

The sale culminated in a mutually beneficial agreement, marking a significant milestone for both parties. Our client successfully transitioned the ownership of their business to a European market leader, unlocking new opportunities for growth and innovation.

Alongside the acquisitions of React, the Polygon Group also acquired Tersus Ltd in Ireland (with offices in Dublin, Cork and Limerick). Axel Gränitz, President and CEO of Polygon Group, comments: “Polygon’s entry into Ireland stands as a testament to our global reach and commitment to providing top-tier property damage restoration solutions wherever they are needed.”

Lynsey Henderson additionally remarks: “This transaction solidifies React’s legacy as industry leaders and establishes strategic partnerships on an international scale. The acquisition not only underscores the resilience of Belfast’s business community but also exemplifies the potential for collaboration in a global marketplace.
