Areas of Focus:
- Collating information for virtual data rooms including the formation and management of same
- Advising on debt financing, refinancing and restructurings
- Negotiating complex industry-specific corporate joint ventures and share purchase agreements as well as all relevant equity documentation (including, bespoke articles of association and transitional services agreements)
- Providing expert advice on key matters, such as board structure, share capital structure and existing shareholders’ arrangements
- Advising on exit mechanisms, mainly through trade sale and secondary or subsequent buyout.
